5. Quotes, Proposals, and Project Discussions

When you request a quote or discuss a project with us, we may ask for project details, goals, required features, timeline, budget, technical access, and other relevant information.

Any estimate, proposal, or recommendation we provide is based on the information available at that time. If project requirements change, the scope, cost, timeline, and deliverables may also change.

A project is considered confirmed only when both sides agree on scope, payment terms, and required conditions.

6. Client Responsibilities

For smooth project execution, clients are responsible for providing accurate information, timely feedback, required content, approvals, access credentials, brand assets, hosting/domain details, third-party account access, and any materials needed for the project.

Project delays may occur if required information, access, content, feedback, or approvals are not provided on time.

Clients are responsible for ensuring that any content, images, logos, trademarks, documents, product data, or materials they provide do not violate any third-party rights.

7. Payments and Billing

Payment terms are agreed separately for each project.

Depending on the project, we may require advance payment, milestone payments, monthly payments, maintenance fees, or final payment before delivery, deployment, handover, or access transfer.

Unless otherwise agreed in writing:

- Work may not begin until the required advance payment is received

- Project files, source code, credentials, or final deliverables may be withheld until pending payments are cleared

- Additional work outside the agreed scope may require additional payment

- Delayed payments may delay delivery, support, maintenance, or future work

All payment obligations should be followed according to the invoice, proposal, agreement, or written confirmation shared with the client.

8. Project Scope and Revisions

Each project has a defined scope. The scope may include specific pages, features, modules, designs, integrations, revisions, or deliverables.

Work that is not included in the agreed scope may be treated as additional work and may require a separate quote, timeline, and payment.

Revisions are provided according to the agreed project terms. Revisions do not include complete redesigns, new features, major changes in direction, or work outside the original scope unless agreed separately.

9. Timelines and Delays

We aim to complete projects within the agreed timeline. However, timelines may change due to factors such as:

- Delay in client feedback

- Delay in content, credentials, or approvals

- Change in requirements

- Third-party service issues

- Hosting, domain, API, or payment gateway delays

- Technical complexity discovered during development

- Unforeseen bugs or compatibility issues

We are not responsible for delays caused by client-side dependencies, third-party platforms, hosting providers, domain providers, payment processors, or external services.

10. Third-Party Services and Platforms

Some projects may require third-party services such as hosting, domains, payment gateways, Shopify, WordPress, APIs, Google services, cloud storage, analytics tools, email providers, plugins, themes, or other software.

Third-party services are governed by their own terms, pricing, limitations, policies, and availability.

We are not responsible for:

Clients are responsible for paying any third-party fees unless otherwise agreed.

11. Hosting, Domain, and Deployment

If we assist with hosting, domain, or deployment, we do so according to the agreed project scope.

The client is responsible for maintaining ownership of their domain, hosting account, business email, third-party accounts, and payment methods unless a separate managed service agreement exists.

We strongly recommend that clients keep their own access records secure and updated.

12. Intellectual Property

Unless otherwise agreed in writing:

- Website content, brand assets, logos, images, text, and materials provided by the client remain the client’s property.

- Pre-existing tools, libraries, frameworks, reusable code, internal processes, design methods, and development techniques used by Innovera remain the property of Innovera or their respective owners.

- Final project ownership terms depend on the project agreement, payment completion, and agreed deliverables.

- Source code, design files, or project files may be handed over only if included in the agreed scope and after required payments are cleared.

15. Support and Maintenance

Support and maintenance are provided only if included in the project scope or agreed separately.

Maintenance may include bug fixes, updates, monitoring, minor adjustments, backups, security checks, or technical support, depending on the agreement.

Support does not automatically include new features, redesigns, third-party changes, major upgrades, content entry, SEO campaigns, or ongoing management unless agreed separately.

16. Bugs and Technical Issues

We aim to deliver stable and tested work. However, software and websites may still experience bugs, compatibility issues, or errors after launch.

If a bug is related to our agreed work and reported within the agreed support period, we will review and address it according to the project terms.

Issues caused by third-party changes, client edits, hosting problems, plugin updates, server changes, unauthorized modifications, malware, or external systems may require additional paid work.

17. No Guarantee of Results

We aim to provide high-quality digital solutions, but we do not guarantee specific business results, search engine rankings, revenue, sales, traffic, leads, customer growth, app downloads, or approval from third-party platforms.

For SEO, marketing, performance, or business growth, results may depend on many factors outside our control, including competition, content quality, market demand, budget, backlinks, user behavior, search engine updates, and ongoing effort.

18. Limitation of Liability

To the maximum extent permitted by applicable law, Innovera will not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profit, loss of business, loss of data, loss of reputation, website downtime, or third-party service failure.

Our total liability for any claim related to services will not exceed the amount paid by the client for the specific service giving rise to the claim, unless otherwise required by law.
